TERMS AND CONDITIONS

Please READ carefully, as this pertains to the Agreement of your registration with any of the products or services offered by Wendy Elizabeth Welles, doing business as Elizabeth Welles ("Company", "we", "us", or "our").

The following terms and conditions govern your access to and use of elizabethwelles.com and yourmiracletime.com, including all subdomains, content, functionality, and services offered on or through these websites (collectively, the "Websites"), whether as a guest or a registered user.

By using the Websites or by purchasing any products or services, you accept and agree to be bound and abide by these Terms and Conditions and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms and Conditions, you must not access or use the Websites or purchase any products or services.

PRODUCTS AND SERVICES

The Company offers various educational products and services designed to support individuals in finding peace, rest, creative expression, wellness, and healing through meditation, writing, storytelling, and related practices. These include but are not limited to:

  • eBooks and written guides

  • Downloadable PDFs and resources

Creative Works:

  • Original artwork ("Luminous Visions")

  • Books and publications

Personal Services:

  • Individual coaching and consultation sessions

  • Workshops and group programs

  • Speaking engagements

  • Storytelling and performance services

  • Meditation-by-Design services

  • Write Your Way to Peace journaling workshops

Client agrees to abide by all policies and procedures outlined in this Agreement as a condition of their participation in any of our programs or use of our services.

DISCLAIMER AND SCOPE OF SERVICES

Nature of Services:

Products and services provided by the Company are for educational, creative, and spiritual enrichment purposes only. Client understands that Elizabeth Welles and the Company are not medical doctors, psychotherapists, lawyers, financial advisors, registered dieticians, or licensed mental health professionals.

Not Medical or Psychological Treatment:

Client understands their participation in any programs will not treat, diagnose, or cure any disease, illness, or mental health condition. The Company's services related to grief, loss, meditation, rest, creativity, and personal wellness are not substitutes for professional medical, psychological, or psychiatric care. If Client experiences any physical or mental health issues, they should consult their registered physician, licensed therapist, or other appropriate practitioner.

Mental Health Crisis Resources:

If you are experiencing a mental health crisis, please contact a qualified mental health professional immediately or call the National Suicide Prevention Lifeline at 988.

No Guarantees or Promises:

Client understands that neither Elizabeth Welles nor Company has promised, guaranteed, or shall be obligated to provide:

  1. - Specific results, healing outcomes, or relief from grief, stress, or any emotional or physical condition

  2. - Success in creative endeavors, business, or personal goals

  3. - Any publicity, media exposure, interviews, or promotional opportunities

  4. - Introduction to Elizabeth's network of contacts or business partners

  5. - Ongoing support or relationship beyond the scope of the specific program or service purchased

Client Responsibility:

Client accepts and agrees that they are 100% responsible for their own physical, emotional, and mental well-being, their implementation of any ideas or practices learned, any decisions made based on information provided, and all results (or lack thereof) from participation in programs or use of products. Client agrees to use judgment and conduct due diligence before implementing any practices or techniques and will consult with appropriate healthcare providers or professionals as needed for their individual situation.

Results May Vary:

Client understands that experiences with grief, creativity, meditation, rest, and personal growth vary significantly from person to person. Prior results experienced by others do not guarantee similar outcomes. Testimonials and stories shared by other clients are not guarantees of results.

Scope of Relationship:

A professional relationship exists only for the duration and scope of the specific program or service purchased and does not continue beyond that time unless a new agreement is made.

FINANCIAL OBLIGATION

Client is responsible for the completion of all payments associated with products or services they purchase. If Client chooses a payment plan, Client remains obligated to complete all payments according to the agreed schedule, regardless of their level of participation or completion of the program.

We reserve the right to seek recovery of any monies remaining unpaid through appropriate collection methods, which may include the use of a collection agency. Client will be responsible for any collection costs, attorney fees, and other expenses incurred in collecting unpaid amounts.

METHODS OF PAYMENT

We accept Visa, Mastercard, American Express, and PayPal as forms of payment. If Client chooses to pay by installments, Client authorizes the recurring charge for the product on their credit card, debit card, or PayPal account according to the payment schedule agreed upon at the time of purchase.

Client is responsible for ensuring their payment method remains valid and has sufficient funds for all scheduled payments. If a payment fails, we will attempt to process the payment again. Continued payment failures may result in suspension of access to programs or services until payment is received.

REFUND POLICY

Finding Peace Through the Power of Rest (The R.E.S.T. Course) - 7-Day Money-Back Guarantee:

We offer a 7-day money-back guarantee for the Finding Peace Through the Power of Rest course (The R.E.S.T. Course). If you are not satisfied with the course, you may request a full refund within 7 days of your original purchase date by contacting us at elizabeth@elizabethwelles.com.

To request a refund, you must:

  • Submit your refund request in writing within 7 calendar days of your purchase date

  • Provide your name, email address, and order number

  • Include a brief explanation of why the course did not meet your needs

Refunds will be processed within 10 business days of receiving your request and will be issued to the original payment method used for purchase.

All Other Products and Services - No Refunds:

All other products and services, including but not limited to Give Your Inner Critic a Vacation course, Writing Through Grief's Open Door and all add-on offers, digital products, books, original artwork, coaching sessions, workshops, consulting services, speaking engagements, and performances are FINAL SALE with NO REFUNDS. Once purchased, all payments are non-refundable and you are responsible for full payment of the fees for the product or service, regardless of whether or not you access, use, complete, or are satisfied with the program.

Important Notes:

  • All refunds are discretionary as determined by the Company

  • If you download digital materials and then request a refund, we reserve the right to deny your refund request

  • Payment plan commitments remain in effect regardless of refund eligibility

INTELLECTUAL PROPERTY AND LICENSE TERMS

Copyright Protection:

All digital products, including courses, PDFs, audio recordings, videos, written materials, and artwork images are protected by copyright and are the exclusive property of Wendy Elizabeth Welles.

Personal Use License:

By purchasing any digital product from the Company, you receive a single-user, non-exclusive, non-transferable license to access and use the materials for your own personal growth, learning, and creative development only.

Prohibited Uses:

You may NOT:

  • Share, distribute, or transfer access to any digital products with others

  • Upload, post, or share course materials, PDFs, audio files, or videos on any public or private platform

  • Make copies for others, even if not for profit

  • Use any of our intellectual property for commercial purposes

  • Create derivative works or competing products based on our materials

  • Reproduce, sell, or redistribute our artwork or creative works in any format

  • Remove copyright notices, watermarks, or attribution from any materials

Artwork Rights:

Purchase of original artwork or prints is for the buyer's personal enjoyment and display only. Purchase does not transfer reproduction rights, copyright, or the right to create derivative works. All intellectual property rights remain with Elizabeth Welles. Artwork may not be reproduced, photographed for commercial use, or used to create derivative works.

Enforcement:

By purchasing our products, you agree that if you violate or display any likelihood of violating this Agreement, the Company will be entitled to injunctive relief to prohibit any such violations and to protect against harm. You may be held liable for damages, attorney fees, and other costs resulting from violations of these intellectual property terms.

CONFIDENTIALITY AND PRIVACY

The Company respects Client privacy and insists that Client respects our privacy as well. This constitutes a mutual non-disclosure agreement.

Company Confidentiality:

Any confidential information shared by the Company, other program participants, or any representative of the Company is confidential and proprietary. Client agrees not to disclose, reveal, or make use of any confidential information or any transactions during programs, in private sessions, in group settings, or in any community forums. Client will NOT reveal any information to a third party obtained in connection with this Agreement, including but not limited to names, email addresses, phone numbers, or postal addresses of other clients or program participants.

Client Privacy:

The Company will maintain Client privacy in accordance with our Privacy Policy. We will not share Client's personal information with third parties except as necessary to provide services or as required by law.

Group Settings:

If participating in group programs, workshops, or community forums, Client understands that they may share personal information with other participants. The Company is not responsible for how other participants may use information shared in group settings. Client is encouraged to use discretion when sharing personal information in group contexts.

TESTIMONIALS AND MARKETING

From time to time, the Company may request permission to use Client testimonials, stories, or feedback for marketing purposes. Client is under no obligation to provide testimonials. If Client agrees to provide a testimonial, Client grants the Company permission to use their name, likeness, story, and feedback in marketing materials, on the Websites, in social media, and in other promotional contexts unless otherwise agreed in writing. Testimonials used are actual statements made by clients and have been truthfully conveyed, but are not guarantees of results that others will obtain.

WEBSITE USE AND ACCOUNT SECURITY

We reserve the right to withdraw or amend the Websites and any service or material we provide on the Websites in our sole discretion without notice. We will not be liable if for any reason all or any part of the Websites is unavailable at any time or for any period.

If you create an account to access any of our programs or services:

  • You must provide accurate, current, and complete information

  • You must keep your login information confidential

  • You are responsible for all activities that occur under your account

  • You must notify us immediately of any unauthorized access

  • You may not share your account access with others

We have the right to disable any user account at any time in our sole discretion for any reason, including if we believe you have violated any provision of these Terms and Conditions.

ARTWORK SALES

Original artwork and prints sold through the Company are subject to the following additional terms:

Shipping and Handling:

  • Artwork will be carefully packaged and shipped to the address provided by Client

  • Shipping costs are the responsibility of the Client unless otherwise specified

  • Risk of loss passes to Client upon delivery to the shipping carrier

  • The Company is not responsible for damage that occurs during shipping, though we will work with shipping carriers to resolve any issues

Artwork Condition:

  • We make every effort to accurately represent colors, dimensions, and condition in photographs

  • Slight variations may occur due to photography, monitor settings, or the handmade nature of the work

  • Original artwork is sold as-is with no returns unless the item arrives significantly damaged

LINKS TO THIRD-PARTY WEBSITES

The Websites may contain links to other websites not owned or controlled by the Company. The Company is not responsible for the content, privacy policies, or practices of any third-party websites. We provide these links only as a convenience, and the inclusion of any link does not imply endorsement by the Company. We encourage you to read the terms and conditions and privacy policy of any third-party website you visit.

AFFILIATE LINKS AND RECOMMENDATIONS

From time to time, the Company may include affiliate links on the Websites or recommend products, services, or resources created by others. If we include affiliate links, we will disclose this to you. The Company may earn a commission if you purchase products or services through our affiliate links. However, we only recommend products, services, and resources that we believe will provide value to our community. Any recommendations we make are not guarantees that the product or service will be right for you. You remain responsible for conducting your own research and making your own decisions about any purchases.

GUEST CONTRIBUTIONS

If the Company features guest contributors on podcasts, in workshops, or in other formats, guests agree that they retain ownership of their personal stories but grant the Company a license to use, reproduce, and distribute the recorded content for educational and promotional purposes.

LIMITATION OF LIABILITY

Client agrees they use the Company's products and services at their own risk. Client releases the Company, its owner, employees, contractors, affiliates, and related entities from any and all damages that may result from any claims arising from participation in any programs or use of any products or services.

Client accepts any and all risks, foreseeable or unforeseeable. Client agrees that the Company will not be held liable for any damages of any kind resulting or arising from, including but not limited to, direct, indirect, incidental, special, negligent, consequential, or exemplary damages happening from the use or misuse of the Company's services, products, or enrollment in any program.

THE COMPANY MAKES NO WARRANTIES REGARDING THE PERFORMANCE OR OPERATION OF THE WEBSITES. THE COMPANY FURTHER MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE INFORMATION, CONTENTS, MATERIALS, PROGRAMS, PRODUCTS, OR SERVICES INCLUDED ON OR THROUGH THE WEBSITES. TO THE FULLEST EXTENT PERMISSIBLE UNDER THE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE WEBSITES, PRODUCTS, OR SERVICES.

INDEMNIFICATION

Client shall defend, indemnify, and hold harmless the Company, its owner, employees, contractors, affiliates, and successors from and against any and all liabilities and expenses whatsoever—including without limitation, claims, damages, judgments, awards, settlements, investigations, costs, attorneys fees, and disbursements—which any of them may incur or become obligated to pay arising out of or resulting from Client's use of products or services, participation in programs, or violation of these Terms and Conditions.

TERMINATION

The Company is committed to providing all Clients with a positive experience. The Company may, at its sole discretion, terminate this Agreement and limit, suspend, or terminate Client's participation in any program or access to any service without refund or forgiveness of payments if:

  • Client becomes disruptive to the Company or other participants

  • Client fails to follow program guidelines or community standards

  • Client engages in behavior that impairs the participation of other participants

  • Client violates any terms of this Agreement

  • Client shares confidential information or violates intellectual property rights

Client will remain liable to pay any outstanding amounts owed, even if access is terminated.

FORCE MAJEURE

In the event that any cause beyond the reasonable control of the Company, including without limitation acts of God, war, pandemic, civil disturbance, or any other circumstance makes it inadvisable, illegal, or impossible for the Company to perform its obligations under this Agreement, the Company's performance shall be extended without liability for the period of delay or inability to perform. If a force majeure event continues for more than 30 days, either party may terminate this Agreement with written notice. In such cases, the Company will make reasonable efforts to provide alternative access to digital materials or reschedule services when possible.

INDEPENDENT CONTRACTOR STATUS

Nothing in this Agreement is to be construed as creating a partnership, employment relationship, or any other similar relationship between the parties. The Company and Client are independent parties. Client is not an employee, agent, or representative of the Company.

MODIFICATION OF TERMS

The Company may modify these Terms and Conditions at any time. All modifications shall be posted on the Websites and purchasers shall be notified via email when possible. Your continued use of the Websites or participation in programs after modifications are posted constitutes acceptance of the modified terms. Material changes that affect existing purchased products or services will not be applied retroactively without notice.

SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall nevertheless continue in full force. The failure of either party to exercise any right provided for herein will not be deemed a waiver of that right or any further rights hereunder.

ASSIGNMENT

Client may not assign this Agreement or any rights or obligations hereunder without the express written consent of the Company. The Company may assign this Agreement or any rights hereunder without restriction.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of Arizona, United States of America, without regard to its conflict of law provisions.

Informal Resolution:

In the event of any dispute, claim, or controversy arising from or relating to this Agreement, the parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by providing written notice to the other party describing the dispute.

Arbitration:

If the dispute cannot be resolved through informal negotiation within 30 days, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be held in Maricopa County, Arizona, or conducted remotely via videoconference if agreed by both parties. All claims must be lodged within 100 days of the date of the first claim or otherwise be forfeited. The written decision of the arbitrator will be binding and conclusive and may be entered and enforced in any court of proper jurisdiction.

Fee Shifting:

The prevailing party in any arbitration or legal proceeding shall be entitled to recover reasonable attorneys' fees and costs from the other party.

Class Action Waiver:

To the fullest extent permitted by law, each party waives any right to pursue disputes on a class-wide basis. All disputes must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

ENTIRE AGREEMENT

This Agreement, together with the Privacy Policy, constitutes the sole and entire agreement between the parties with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.

ACKNOWLEDGMENT

By purchasing any product or service or by using the Websites, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
